Introduction & Acceptance

BNSHardware.lk (“we”, “us”, “our”) is committed to providing a safe, secure, and transparent online shopping experience. These Terms and Conditions (“Terms”) govern your use of the BNSHardware.lk website and all services and purchases made through it. We adhere to applicable Sri Lankan laws and regulations, including the Consumer Affairs Authority’s e-commerce regulations (Extraordinary Gazette No. 2332/15 of 17 May 2023) and the Personal Data Protection Act No. 9 of 2022 (PDPA), to ensure fairness and transparency. By accessing or using BNSHardware.lk, creating an account, or placing an order, you agree to these Terms, as well as our Payment Policy and Delivery Policy, which are hereby incorporated by reference. Please read all policies carefully. If you do not agree with any of these Terms, you should refrain from using our site.

Use of Website and Services

You are permitted to use the content, features, and functionalities provided on BNSHardware.lk (the “Services”) for your personal, non-commercial use, in accordance with these Terms. All information and content on this site are provided for the purpose of facilitating purchases and providing product information. User Accounts & Security

When you create an account on BNSHardware.lk, you must provide accurate and current information. Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your password or allow others to access the account. If you suspect any unauthorized use of your account or a security breach, you must notify us immediately so we can take action. We may request additional verification information from you to validate account activity for security purposes. We will not be liable for any loss or damage arising from your failure to safeguard your account information. We reserve the right to suspend or terminate accounts that we believe are compromised, used fraudulently, or in violation of these Terms.

Acceptable Use Policy

You agree to use BNSHardware.lk in a lawful and respectful manner. Prohibited Conduct: You shall not use the Site or Services to transmit, distribute, upload, or otherwise publish any material that:

  • Is unlawful, fraudulent, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, or otherwise objectionable.

  • Infringes or misappropriates the intellectual property rights or other rights of any party.

  • Contains viruses, Trojan horses, worms, time bombs, ransomware, or any other harmful software or code designed to interrupt, damage, or limit the functionality of any computer software, hardware, or telecommunications equipment.

  • Attempts to gain unauthorized access to the Site, other users’ accounts, or our computer systems or networks (no “hacking” or security circumvention).

  • Involves sending unsolicited mass communications (“spam”), chain letters, junk mail, pyramid schemes, or any form of solicitation not authorized by us.

  • Misrepresents your identity or affiliation (no impersonating other persons or entities, or falsely stating or otherwise misrepresenting your affiliation with a person or entity).

We may offer interactive features such as product reviews, Q&A forums, or online chat support (when introduced). You must use these features in accordance with this Acceptable Use Policy. For example, you must not post content that violates anyone’s rights or applicable laws, and you must remain courteous and relevant. We do not pre-screen user-generated content, but we reserve the right (at our sole discretion) to monitor, edit, refuse to post, or remove any content or communications that violate these Terms or applicable law. Any breach of this Acceptable Use Policy may result in immediate suspension or termination of your account or access, and we may report misconduct to law enforcement if appropriate.

Orders, Payments, and Deliveries

When you place an order through BNSHardware.lk, you are making an offer to purchase the products in your cart. Order Acceptance: All orders are subject to our acceptance. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product description, or suspected fraud. If we cancel an order after you have been charged, we will issue a full refund of the amount paid. Prices and promotions are subject to change until an order is confirmed.

Payment: You agree to pay for all orders in accordance with our Payment Policy. We accept various payment methods (e.g. bank deposits, credit/debit cards, mobile wallets, etc.) as detailed in the Payment Policy. All payments must be made in Sri Lankan Rupees (LKR) unless otherwise specified, and orders will be processed only after full payment is received and verified. We do not offer cash-on-delivery; all purchases must be paid in advance through the available payment options. By completing a payment, you confirm that you have read and agree to the Payment Policy and these Terms.

Delivery: Purchased goods will be delivered in accordance with our Delivery Policy. We offer multiple shipping and pickup options, delivery timeframes, and fee structures as described in that policy. Delivery times provided at checkout or in our policy are estimates and may vary due to courier delays, weather, or other unforeseen factors. We will make reasonable efforts to deliver within the estimated times, but we are not liable for delays beyond our control. Title to and risk of loss for products pass to you upon delivery of the item to the address you provided (or upon pickup from our store by you or your agent). Upon receiving your order, you (or your authorized recipient) should inspect the goods. If there is any visible damage or discrepancy, you should follow the guidelines in our Delivery Policy (such as noting the issue with the courier or refusing delivery of damaged items). We include all legally required details (delivery terms, applicable charges, etc.) in your order confirmation and invoice, in compliance with Sri Lankan e-commerce regulations. All orders are subject to stock availability. In the rare event an item you ordered is out of stock or unavailable, we will contact you to arrange an alternative or a refund. We strive to ensure product descriptions and pricing on our site are accurate; however, if we discover an error in the price or description of a product you’ve ordered, we will inform you as soon as possible and give you the option to reconfirm the order with the corrected information or cancel it for a full refund.

Returns and Refunds

We want you to be satisfied with your purchases from BNSHardware.lk. Returns & Cancellations: If you wish to return a product or cancel an order, please consult our Returns & Refund Policy (also referred to as our Returns/Cancellation Policy) for detailed instructions, conditions, and procedures. In summary:

  • Order Cancellations: Under applicable law, you may have a right to cancel an order within a prescribed “cooling-off” period (for example, before we have begun the shipping process). To cancel an order, contact us as soon as possible. If the order has not yet shipped, we will process your cancellation. If you already paid, any eligible refund will be issued back to your original payment method (minus any non-recoverable transaction fees, if applicable). For orders paid by cash or cheque, cancellations and refunds will follow the procedures outlined in our Returns/Cancellation Policy.

  • Returns and Exchanges: If a delivered product is defective, damaged in transit, or not as described on our website, you are entitled to a return or exchange. You must notify us within the timeframe stated in the Returns & Refund Policy (for example, within 7 or 14 days of delivery, or within 2 days for reporting transit damage, as applicable). We may offer to replace the item or provide a full refund, depending on the circumstance. We may require the item to be returned to us in its original packaging or condition, along with proof of purchase. In cases of minor issues, we might suggest an acceptable remedy in line with consumer protection laws.

  • Change of Mind: If returns for change of mind or unwanted items are permitted (subject to our policy), the item must be in new, unused condition with all original packaging intact. Certain categories of products (e.g. custom-cut materials, perishable goods, or items marked as non-returnable due to hygiene or safety reasons) may not be eligible for change-of-mind returns. Restocking fees or return shipping costs may apply for voluntary returns, as detailed in the Returns & Refund Policy.

All refunds, if approved, will be processed in a timely manner. Credits for returns will usually be issued to the same payment method used for the purchase. Please note that shipping charges are typically non-refundable unless the return is due to our error or a defect. We abide by all relevant consumer protection laws and regulations in Sri Lanka regarding returns, exchanges, and warranties for defective goods. Intellectual Property

All content on BNSHardware.lk — including text, images, graphics, logos, icons, software, and other material — is the property of BNS Hardware (Pvt) Ltd or its content suppliers and is protected by intellectual property laws. Our Trademarks and Content: “BNSHardware.lk” and associated logos and names are our trademarks or service marks. You may not use our trademarks, trade name, or trade dress in connection with any product or service that is not offered by us, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits us. All other trademarks on the Site that are not owned by us are the property of their respective owners (for example, manufacturers or brands of products), who may or may not be affiliated with or connected to BNS Hardware.

You are authorized to access and use the Site and its content for personal, informational, and shopping purposes only. No part of the Site may be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without our express written consent. You also agree not to use, frame, or utilize framing techniques to enclose any of our trademarks, logos, or other proprietary information (including images and text) without our prior written permission. User-Submitted Content: If you submit any content to our Site (such as product reviews, comments, testimonials, or images), you retain ownership of your content, but you grant BNSHardware.lk a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display that content in any media.   • Right to Erasure: You can request that we delete your personal data when it is no longer necessary for the purposes we collected it, or if you withdraw consent (where applicable), or if processing it is unlawful, etc. (This is subject to certain exceptions – for example, we might retain data if required by law or for legitimate business purposes like invoicing).

Nonetheless, if you encounter a third-party link or content on BNSHardware.lk that is inappropriate, broken, or suspicious, we encourage you to report it to us, and we will take action as we deem appropriate to maintain the integrity of our Site.

Disclaimers of Warranties

Site and Content: BNSHardware.lk and all information, content, materials, products (including software) and services made available to you through the Site are provided on an “as is” and “as available” basis, unless otherwise specified in writing. To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Site and any products or services you purchase through it. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance.

However, we do not warrant or guarantee that the information on the Site (including product descriptions, pricing, availability, and customer reviews) is always complete, reliable, current, or error-free. No guarantee of accuracy: Any reliance on the material on this Site is at your own risk. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information on the Site is erroneous (even after you have submitted an order).

Product Warranties: Any warranty for products (for instance, manufacturer warranties or guarantees for a particular item) will be as provided by the manufacturer or stated on our Site for that product. Except as explicitly set forth in a product’s warranty (if any) or required under law, we make no representation or warranty about the quality, suitability, or safety of any product sold. Limitation of Liability

To the fullest extent permitted by law, BNS Hardware (Pvt) Ltd (BNSHardware.lk) and its directors, officers, employees, agents, affiliates, and partners will not be liable for any indirect, special, incidental, consequential, or punitive damages of any kind arising out of or in connection with your access to, or use of, or inability to use, the Site or any products or services purchased through the Site. This includes, but is not limited to, any damages for lost profits, loss of revenue, loss of data, loss of business opportunities, cost of procurement of substitute goods or services, or any intangible losses, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims relating to your use of the Site and purchases made via the Site exceed the total amount paid by you to BNSHardware.lk for the specific product or service in question that gave rise to the liability. If your claim does not relate to a purchase (for example, you are a Site visitor who has not bought anything), our maximum liability will be the lesser of LKR 10,000 or the minimum amount permitted by law for such an instance. These limitations apply whether the claim is based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

Exceptions: Nothing in these Terms seeks to limit or exclude liability that cannot be limited or excluded by law. This means that our liability is not limited in the case of our own intentional misconduct or fraud, or for personal injury or death caused by our negligence, or any other liability which by law cannot be restricted. Additionally, your statutory rights as a consumer are not affected or limited by this section.

You acknowledge and agree that the limitations of liability set forth above are fundamental elements of this agreement and the services provided, and that we would not be able to offer our products and services on an economically feasible basis without such limitations. If you are dissatisfied with any portion of the Site, or with any of these Terms, your sole and exclusive remedy (apart from claims that cannot be lawfully excluded) is to discontinue using the Site and, if applicable, to return products in accordance with our Returns Policy.

Indemnification

You agree to indemnify, defend, and hold harmless BNS Hardware (Pvt) Ltd, its parent, affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, demands, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to: (a) your use or misuse of the Site or Services; (b) any content you submit, post, or transmit through the Site (e.g., user reviews or comments); (c) your violation of any of the provisions of these Terms or any policy referenced herein; or (d) your violation of any law or the rights of a third party.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses. This indemnity obligation will survive the termination of your account or these Terms and Conditions.

Dispute Resolution & Governing Law

We are committed to customer satisfaction and encourage you to contact us to resolve any issues or disputes amicably. In the event of a dispute between you and BNSHardware.lk arising out of or relating to your use of the Site or purchases made through it, please first reach out to our customer service team. We will try in good faith to work with you to resolve the matter.

If we cannot resolve a dispute informally, the following terms will apply: These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles. You agree that any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach or validity thereof, shall be subject to the exclusive jurisdiction of the courts of Sri Lanka. Unless an alternative dispute resolution mechanism is agreed upon by both parties in writing (such as arbitration or mediation), you agree to submit to the jurisdiction of the Sri Lankan courts for the resolution of any such disputes.

Nothing in this section affects the statutory rights of consumers to submit complaints to relevant authorities (such as the Consumer Affairs Authority or the Data Protection Authority) as provided under applicable laws. However, by agreeing to these Terms, you and BNSHardware.lk both waive any right to a trial by jury or to participate in a class-action lawsuit against each other, to the extent such waivers are permitted by law (this primarily applies to jurisdictions outside Sri Lanka, as Sri Lankan civil procedure does not involve jury trials or class actions in the same manner).

Both parties agree that they will not file or participate in any class action against the other. Any claim you bring against us must be conducted on an individual basis.

Future Services and Features

BNSHardware.lk continually evolves to improve your shopping experience. From time to time, we may introduce new features, services, or programs. By using any such new features once they become available, you agree that they will be governed by these Terms (and any additional specific terms we communicate at launch). Anticipating some upcoming features:

  • Loyalty & Rewards Programs: Upon launch of any customer loyalty or rewards program, your participation will be subject to these general Terms and any program-specific rules or terms. For instance, if we introduce a points system or membership tier with benefits, we will publish the terms governing point accrual, redemption, expiration, and any other conditions. Participation in the loyalty program will constitute acceptance of those terms. We reserve the right to modify or discontinue loyalty programs, but we will honor any points or rewards earned according to the stated terms at that time.

  • Online Chat & Support Services: We may introduce live chat support, chatbots, or community forums to assist you or allow interaction with other customers. When introduced, any chat service or forum will be covered by our Acceptable Use Policy and Privacy Policy. Conversations may be recorded or monitored for quality assurance and training. Users must not misuse the chat (for example, no spamming, hate speech, or harassment of support agents or other users). We may set additional guidelines for chat usage (like operating hours, expected conduct, or restrictions on certain information being shared). By using the chat features, you agree to communicate respectfully and understand that any advice or information provided via chat is for general support purposes (official confirmations will still be via email or order updates).

  • Technician Booking & Installation Services: We may offer a service to schedule technician visits or installation services for certain products (e.g., assembly of equipment, on-site technical support) when this feature is introduced. Such services will likely have their own policies regarding scheduling, cancellation of appointments, applicable fees, and scope of work. Those specific terms will be provided at the time the service launches or at the time of booking. Generally, if you schedule an installation through us, you must ensure a safe and accessible environment for our technicians at the agreed time. We will strive to fulfill appointments punctually, but appointment times may be subject to change due to traffic, weather, or other logistical issues; we will inform you of any significant delays or need to reschedule. Any warranties or liabilities related to installation services will be outlined in the service terms (for example, we might warrant the workmanship for a short period, or limit liability for any on-site damages to cases of gross negligence).

  • Mobile Applications and Other Features: If we release a mobile app or other digital platform for BNS Hardware, your use of it will also be governed by these Terms (to the extent applicable) and any additional end-user license agreement (EULA) or terms presented within the app. Similarly, any new feature (such as augmented reality previews of products, referral programs, gift card systems, or subscription services) will come with relevant guidelines. We will notify users through the Site or via email of any such additions and provide the opportunity to review the new terms.

In all cases, new services are provided for your convenience and may be subject to change or termination at our discretion. We appreciate user feedback on new features, but any feedback you provide becomes our property to use for improving the service (see User-Submitted Content license above).

Changes to Terms

BNSHardware.lk reserves the right to modify or update these Terms and Conditions at any time. We may revise these Terms in order to reflect changes in our services, changes in the law, or for other operational, legal, or regulatory reasons. When we update the Terms, we will post the new version on our website and update the “Last Updated” date at the bottom of this document. Significant changes may also be communicated via email to registered users or by prominent notice on the Site.

It is your responsibility to review these Terms periodically for any changes. Changes to the Terms will become effective immediately upon being posted, unless otherwise stated. If you continue to use the Site or our services after the new Terms have taken effect, that continued use will constitute your acceptance of the revised Terms. If you do not agree with any modified terms, you must discontinue use of BNSHardware.lk and, if applicable, contact us regarding any closing of accounts or outstanding matters.

Termination

We may, at our sole discretion, terminate or suspend your account and/or access to the Site (or certain Services) at any time, with or without notice, for any reason. This includes, without limitation, if we believe that you have violated these Terms, engaged in fraudulent or unlawful activity, or caused harm to other users or our business. We may also terminate the availability of the Site (or any part of it) for all users if necessary (for example, to perform maintenance or close the site).

If your account or access is terminated by us due to a breach of these Terms or improper activity, we reserve the right to cancel any pending orders (with a refund for any payments made, minus any costs incurred due to your breach, if applicable) and deny any new orders or account registrations by you in the future. We may also pursue legal action against you for any misconduct or damages resulting from your violation of these Terms.

You have the right to terminate your account at any time if you no longer wish to use our services. You can do so by contacting our customer service and requesting account deletion, or by using any self-service account closure functions on the Site (if available). Note that even after an account is terminated (by you or by us), these Terms will continue to apply to any past use of the Site or purchases you made. Any provisions of these Terms which by their nature should survive termination (such as intellectual property terms, disclaimer of warranties, limitation of liability, dispute resolution, and indemnification) shall survive and remain in effect after termination.

Termination of service shall not waive or release any party from any obligations existing at the time of termination, or liability for any breach of these Terms occurring prior to termination.

General Provisions

Severability: If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and the remaining provisions shall remain in full force and effect. We will, in such case, replace the invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

No Waiver: Our failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Only a specific, written waiver signed by an authorized representative of BNSHardware.lk shall have legal effect.

Force Majeure: BNSHardware.lk shall not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure is due to unforeseen events beyond our reasonable control, such as (but not limited to) acts of God (e.g., floods, earthquakes), acts of war, terrorism, civil unrest, pandemic or epidemic outbreaks, government actions or regulations, national or regional emergencies, strikes or labor disputes, power outages or electrical/power supply failures, cyber-attacks on our systems, or failures of third-party service providers (like internet service disruptions or logistics provider issues). In such an event, we will use reasonable efforts to resume normal operations as soon as practicable, but we shall have the right to extend the time for performance for the duration of the force majeure event or, if necessary, cancel any affected orders and refund payments without further liability.

Entire Agreement: These Terms and Conditions, together with our Payment Policy, Delivery Policy, Privacy Policy, and any other policies or rules posted on our Site (which are incorporated by reference), constitute the entire agreement between you and BNS Hardware (Pvt) Ltd regarding your use of the Site and the Services. They supersede any prior agreements, communications, and proposals (whether oral or written) between you and us with respect to the subject matter herein.
